These Terms of Service ("Terms") govern your access to and use of the PRP-AI Assistant platform ("Service") operated by Z.E Digital Tech ("Company", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using PRP-AI Assistant, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

PRP-AI Assistant is an enterprise-grade autonomous multi-agent AI platform that provides automated software development assistance through specialized AI agents including CodeAgent, TestAgent, SecurityAgent, DeployAgent, AnalysisAgent, and DocsAgent. The Service is available through web dashboard access and a RESTful API.

3. Account Registration

To use the Service, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Subscription Plans and Billing

The Service is offered through subscription plans (Starter, Professional, and Enterprise) with different features and pricing. Billing occurs on a monthly or annual basis depending on your selection. All fees are non-refundable except as provided in our 30-day money-back guarantee for first-time subscribers.

5. Acceptable Use

  • Use the Service to generate malicious code, malware, or exploit code.
  • Attempt to reverse engineer, decompile, or disassemble the Service.
  • Use the Service to violate any applicable laws or regulations.
  • Share your account credentials or API keys with unauthorized parties.
  • Exceed your plan's usage limits through automated or programmatic means designed to circumvent rate limiting.
  • Use the Service to generate content that infringes on intellectual property rights.

6. Intellectual Property

You retain all rights to the code and content you submit to the Service. Code generated by PRP-AI agents in response to your tasks is owned by you. The Service itself, including its software, design, algorithms, and documentation, remains the intellectual property of Z.E Digital Tech.

7. Data Handling

We process your code and task data solely to provide the Service. Your data is not used to train AI models or shared with third parties. For detailed information on data handling, please see our Privacy Policy.

8. Service Availability

We strive to maintain high availability of the Service. Enterprise plans include a 99.9% uptime SLA. We reserve the right to perform scheduled maintenance with advance notice. We are not liable for service interruptions caused by factors outside our reasonable control.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEDIGITAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. CODE AND OUTPUTS GENERATED BY THE AI AGENTS ARE PROVIDED WITHOUT GUARANTEE OF CORRECTNESS, COMPLETENESS, OR FITNESS FOR A PARTICULAR PURPOSE. YOU ARE RESPONSIBLE FOR REVIEWING AND TESTING ALL GENERATED CODE BEFORE USE IN PRODUCTION.

11. Termination

Either party may terminate this agreement at any time. Upon termination, your access to the Service will cease, and we will retain your data for 30 days to allow for export. After 30 days, your data will be permanently deleted unless required by law.

12. Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation, and if necessary, binding arbitration.
